Pursuant to joint motion of the parties, the Court having been apprised that a tentative,

15 negotiated settlement of this matter has been presented to the Securities and Exchange Commission 16 for its consideration, and good cause appearing, 17 18
IT IS HEREBY ORDERED that: 1. Defendant Grant D. Seeger shall serve and file any memorandum in opposition to

19 plaintiff's motion for summary judgment within ten days after plaintiff files a notice that the 20 Securities and Exchange Commission has rejected the tentative settlement of this matter; and 21 2.
Plaintiff shall have fourteen days following the service of a memorandum in

22 opposition within which to serve and file any reply memorandum in support of its motion for 23 summary judgment. 24 3.
Unless closing papers are sooner filed, counsel for plaintiff shall file a report on the
