Defendant had its counsel file an appearance on this action on August 27,
2003. At that time, however, the parties, through direct communications, apart
from the undersigned counsel, were actively pursuing settlement negotiations.
Plaintiff and Defendant asked the undersigned appearing counsel to refrain from
advancing the pleadings while such negotiations were being pursued.
Accordingly, the Defendant did not respond to the complaint and the undersigned
counsel did not hold a 26(f) conference as required by the rules.

The parties have now settled the dispute between them and the action is
being dismissed without prejudice under Rule 41 (a)(1 ). For these reasons, the
undersigned counsel believe no sanctions should be imposed under Local Rule I
26(e).
