All the parties in this action stipulate and agree as follows: 1. Nelcela, Alec Dollarhide and Len Campagna (the "Nelcela Parties") will not

17 argue, elicit testimony or otherwise put on any evidence that POST took, stole, infringed 18 upon, or otherwise had access to, Nelcela's computer source code including, but not 19 limited to, access across the VPN line. The Nelcela Parties will not offer into evidence 20 Exhibits No. 173 or 674. 21 2. The Nelcela Parties' allegations that POST Integrations, Inc., Ebocom, Inc., 22 Ebocom, LLC, Mary Gerdts, Douglas McKinney or any of their employees, agents or 23 representatives (collectively "POST") stole, infringed upon or otherwise had access to, the 24 Nelcela source code, including, but not limited to, access across the VPN line, shall be 25 preserved for phase two of this litigation and all issues relating to ownership of POST's 26 code and alleged infringement by POST shall be preserved for phase two. 27 3. In reliance upon this stipulation, the Nelcela Parties will not be offering 28 certain evidence and witnesses. Similarly, in reliance upon this stipulation, POST and the

other Joint Parties (Lexcel, Inc., Lexcel Solutions, Inc., Carl Kubitz, Flora Kubitz, Merchant Transactions Systems, Inc., Gene Clothier, and Tone Clothier) will not be offering certain evidence and witnesses and will not be designating a rebuttal expert to Mr. Faulkner. 4. The Joint Parties shall remove from their exhibit list Exhibits 555-573 (the

POST source code). 5. The parties reserve their right to seek relief from the Court in the event any
