Lead Plaintiffs filed the instant Unopposed Motion for Preliminary Approval of Class Action Settlement with All Remaining Defendants on August 15, 2008. Lead Counsel was thereafter contacted by counsel to the US West Retirees' Association, who requested that the Notice of Pendency and Settlement of Class Action (the "Notice") (Exhibit A-1 to the motion) be modified. Counsel for the Lead Plaintiffs and counsel for the US West Retirees' Association subsequently conferred and, ultimately, with the agreement of all parties to the settlement and US West Retirees' Association, agreed that the Notice should be modified in the following manner: 1. Capitalization of text notifying potential claimants that if they submitted a valid

proof of claim in connection with the prior settlement with Qwest and other defendants, they need not submit another claim form, and reference to further detail in the Notice (pages 12); 2. Clarification of references so that "Settlement Fund" is referred to as the

"N&W Settlement Fund" (pages 2, 4, 19, 20, 21, 27, 28, 29, 30); 3. 4. Clarification of a non-defined term ("class members") (page 20); Notice that Lead Counsel is seeking the same percentage fee award

previously awarded by the Court for attorney fees in the prior settlement (pages 4, 32); 5. 6. Deletion of text relating to discussion of the "Plan of Allocation" (pages 5, 33); Notice of two agreements that are disclosed in the Stipulation of Settlement,

but not previously mentioned in the Notice (page 32); and

Expansion of notice of documents mentioned in the "Examination of Papers"

language (page 35). These changes to the Notice do not modify the terms of the settlement in any way, or cause any other document in the motion to be modified. These changes resolve objections by the US West Retirees' Association and will conserve the Court's time and resources. Lead Plaintiffs respectfully request that the Court accept the attached revised Notice of Pendency and Settlement of Class Action in place of the Notice previously filed. For the Court's convenience, Lead Plaintiffs have included the entire set of exhibits attached to their original filing with the revised Notice as Exhibit A, a "red-lined" version of the Notice highlighting the agreed upon modifications as Exhibit B, and a "clean" version of the revised Notice as Exhibit C.
