On February 22, 2006, Defendant Michael Makings moved for summary judgment on 1 2 3 4 5 6 7 8 9 10 that are the subject of the February 22 Makings Motion for Summary Judgment on Joint 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 K&E joined in the GTCR motion for summary judgment on joint venture related claims. K&E's separate motion for summary judgment addressed to Counts 12 and 14 was not opposed. The Court's March 28 Order (at page 41 lines 14-15) refers to K&E's motion for summary judgment on Counts 12 and 13 [sic].

Joint Venture Related Claims, Counts 12 and 14 in the Fourth Amended Complaint, and also belatedly joined in the GTCR and Kirkland & Ellis defendants' motions on the same joint venture related claims. On March 28, 2006 the Court issued an Order granting the GTCR Motion for Summary Judgment on the Joint Venture-Related Claims, including Counts 12 and 14, finding that no joint venture existed between the Individual Plaintiffs and GTCR, and also that there was no evidence of a joint venture's continued existence after the incorporation of LeapSource. The Plaintiffs believe that ruling was erroneous.1 However, because the claims

Venture Related Claims are premised upon the existence of the joint venture alleged in the Fourth Amended Complaint, and because the Court has determined in ruling on the GTCR motion that the joint venture does not exist, it follows that the Court's March 28 Order is also dispositive of the claims that are the subject of the Makings February 22 motion for summary judgment, and that the Makings February 22 motion is therefore moot.
