In response to the Court's Order from Chambers, the Trustee of the Visitalk.com Creditors' Trust and the Plaintiff in the above captioned action ("Plaintiff") and Mr. Mark Cardwell, a Defendant in the above captioned action, hereby stipulate and agree as follows: 1. The reference in the caption of the Amended Complaint to a "Michael" Cardwell is an error. The caption should have reflected the name of Mark Cardwell as there is no person named "Michael" Cardwell involved with the facts giving rise to the claims in the Amended Complaint and neither Plaintiff nor its predecessor in interest, Visitalk.com, Inc., sought to assert a claim against a "Michael Cardwell."

To clarify the record, Plaintiff and Mark Cardwell agree that the above captioned action is terminated as to "Michael" Cardwell. 2. All claims and causes of actions, including the counterclaims contained in Mark

Cardwell's Answer to the Amended Complaint, have been settled and resolved. To clarify the record, Plaintiff and Mark Cardwell agree that Mr. Cardwell's Counterclaims shall be dismissed and an order entered by the Court dismissing those claims.
