18 Biltmore Associates, LLC, the Trustee of the Visitalk.com Creditors’ Trust and the
19 Plaintiff in the above captioned action ("Plaintiff’) and Ms. Cynthia Thimmesch, a Defendant in
20 the above captioned action, hereby stipulate and agree that the Court shall enter judgment against
21 her in the amount of $54,870,646.00 on Plaintiff" s Claims in its Amended Complaint in the form
22 attached hereto as Exhibit "1."
23 The Plaintiff and Ms. Thimmesch also stipulate and agree that no hearings or other
24 proceedings on the entry of this fomr of J udgrnent are necessary and respectfully request that this
25 Court enter this J udgrnent at its earliest opportunity.

l Finally, the Plaintiff and Ms. Thimmesch state that the only agreement between them in
2 this action is known in Arizona as a "Damr0n agreement," a copy of which is attached hereto as
3 Exhibit "2," pursuant to which Ms. Thimmesch agreed to the entry of this form of Judgment and
4 the assignment to the Plaintiff of certain claims she holds against certain insurance carriers and
5 to waive the attorney-client privilege between herself and Snell & Wilmer, L.L.P., in connection
6 with the above captioned action and the Plaintiff has agreed not to execute the Judgment against
7 Ms. Thimmesch, personally.
8 Ms. Thimmesch and the Plaintiff respectfully submit that it is appropriate for the Court to
9 enter the form of Judgment attached hereto as Exhibit "1."
