lg In order to address the C0urt’s Order from Chambers, Biltmore Associates, LLC, the
19 Trustee of the Visitalk.com Creditors’ Trust and the Plaintiff in the above captioned action
20 ("P1aintiff’) and Mrs. Cynthia 'Ihimrnesch, a Defendant in the above captioned action, hereby
21 stipulate and agree as follows:
22 1. The Court shall enter judgment against her in the amount of $54,870,646.00 on
23 Plaintiffs Claims in its Amended Complaint in the fomi attached hereto as Exhibit "1."
24 2. Paragraph 43 of the Findings of Fact on page 7 and Paragraphs 10 and 11 ofthe
25 Conclusions of Law on page 9 of the Judgment set forth the basis for the computation of the

1 amount of the Judgment which Plaintiff and Mrs. Thimmesch agree should be entered against
2 her;
_ 3 3. No hearings or other proceedings on the entry of this form of Judgment are
4 necessary and respectfully request that this Court enter this Judgment at its earliest opportunity;
5 4- The only agreement between them in this action is known in Arizona as a
6 ‘°Damrnn agreement," a copy of which is attached hereto as Exhibit "2,” pursuant to which Mrs.
7 Thimmesch agreed to the entry of this form of Judgment and the assignment to the Plaintiff of
8 certain claims she holds against certain insurance carriers and to waive the attorney-client
9 privilege between herself and Snell & Wilmer, L.L.P., in connection with the above captioned
10 action and the Plaintiff has agreed not to execute the Judgment against Ms. Thimmcsch,
1 l personally.
l2 Ms. Thimmesch and the Plaintiff respectfully subn1it that it is appropriate for the Court to
13 enter the form of Judgment attached hereto as Exhibit "1."
