2. Jurisdiction is disputed because Defendants contend that it is an abuse of discretion for this Court to exercise supplemental jurisdiction. C. STIPULATIONS AND UNCONTESTED FACTS AND LAW The following material facts are admitted by the parties and require no proof: 1. Plaintiffs played basketball for the Harlem Globetrotters at various times between 1947 to 1991. 2. Defendant GTFM, LLC (hereinafter "GTFM" or "FUBU") produced and sold clothing (hereinafter the "FUBU/HGI Apparel"), some of which contained Plaintiffs' names, under a licensing agreement with Defendant Harlem Globetrotters International, Inc. (hereinafter "HGI"). 3. The FUBU/HGI license agreement was signed in 2002 and has since expired by its terms. The following material facts, although not admitted, will not be contested at trial by evidence to the contrary: 1. Each of the Plaintiffs signed one or more Player Contracts that discussed the Globetrotters'use of the players'names and likenesses (rights of publicity). 2. HGI sent payments to each of the Plaintiffs based on the sales of the FUBU/HGI Apparel. The following issues of law are uncontested and stipulated to by the parties: 1. Arizona' Common Law Right of Publicity applies. Pooley v. National Holes in-One Association, 89 F.Supp.2d 1108, 1111 (D.Ariz. 2000). D. CONTESTED ISSUES OF FACT AND LAW The following are the material issues of fact to be tried and decided: 1. Whether Defendants received an advantage from the use of Plaintiffs' names on

the FUBU/HGI Apparel.

and received a commercial advantage as well as a benefit from the use of Plaintiffs identities. b. Defendants Contend: Consumers did not purchase the FUBU/HGI Apparel because Plaintiffs' names and likenesses appeared on it, with the possible exception of apparel bearing Plaintiff Lemon' name. s Whether Plaintiffs consented to the use of their names on the FUBU/HGI Apparel. a. b. Defendants Contend: None, with the possible exception of at most $52,205.22 in profits that can be attributed to the use of Plaintiff Lemon' s name on the Apparel. The following are the issues of law to be determined: 1. Whether Plaintiffs granted HGI' predecessors a license in their publicity rights, s

which HGI could then sublicense to FUBU for the FUBU/HGI Apparel. a. Plaintiffs Contend: Plaintiffs granted minimal publicity rights for use at

games, subject to their approval for endorsements, and subject to Collective Bargaining Agreements, and did not consent to HGI' and s FUBU' use. Any alleged grants to HGI' predecessors were extinguished s s by bankruptcy, never acquired by HGI, failed for lack of consideration, and were unconscionable. s b. Defendants Contend: Plaintiffs granted HGI' predecessors a license to use their publicity rights for Globetrotters-related purposes through contracts they signed as players. 2. Whether Plaintiffs' suit is barred by the doctrine of laches. a. Plaintiffs Contend: Defendants have never made a similar exploitation of Plaintiffs identities. Plaintiffs' claims were filed within the Statute of Limitations. Defendants were not prejudiced. b. Defendants Contend: Plaintiffs' claim for damages is barred by laches because they unreasonably delayed suit and Defendants were prejudiced by Plaintiffs'delay. 3. Whether Plaintiffs are entitled to punitive damages. a. Plaintiffs Contend: There is clear and convincing evidence of

Defendants'conscious disregard of Plaintiffs'rights.
