This deal is structured so thiit initially Greg has a 25% interest and Dave has a 75%
interest. Greg has an option to acquire an additional 35% interest bringing his total interest to .
‘ 60% pursuant- to an Option ‘which may be exercised at any time on or after June 2, 2004 upon
the payment of an exercise fprice ot;$3,500. The Operating Agreement provides that Dave is
the Manager, since Greg only a passive investor. However, the Operating Agreement
also provides that most decisions reziuire unanimous consent of the members, except for certain ·
powers of the Manager set forth Section 7.4. Please advise whether this section should
· either be expanded or limited.
