THIS MATTER coming before this Court on Plaintiffs motion for award of attorneys fees and costs payable out of the funds created by the Partial Settlement and for approval of the amount and allocation of incentive fees to named Plaintiffs pursuant to the Partial Settlement agreement and good cause appearing therefor, IT IS HEREBY ORDERED that Plaintiffs motion to is granted and Class Counsel is awarded $8,750,000.00 in attorneys fees and costs, which is 25% of the funds

created under the Partial Settlement agreement and which shall be paid in accordance with the provisions of the Partial Settlement agreement, (Doc. 312, Exh. A), and that the incentive fees to named Plaintiffs in the total amount of $150,000.000 to be allocated in accordance with the terms of the Partial Settlement Agreement, (Doc. 312, Exh. A, pp.27-28), are hereby approved.
