stipulate to the voluntary dismissal with prejudice of the Third Parry Complaint filed by TEI
against the Third Party Defendants (the "Third Party Cornplaint") in the above-captioned action.
The patties stipulate to the dismissal ofthe Third Party Complaint with prejudice
because the parties therein have settled the dispute at issue, and each party shall bear its own
costs and attomeys fees incurred in the proceeding-
