STIPULATION TO FURTHER EXTEND TIME TO ANSWER THE
_}§IRST AMENDED COMPLAINT
WHEREAS, The IT Group, Inc., el czl., tiled petitions for relief under Chapter I1 of the
Banicruptoy Cod on January 16, 2002;

WHEREAS, the Ofhcial Committee of Unsecured Creditors (the "Cornrnittee") of The IT
Group, Inc, er al., on behalf of the Estate of The iT Group, Inc., et czl., (“IT Group" or the
"Debtors"), commenced Adversary Proceeding No. 04613.36 (MFW) (the “Action”) against the
abovecaptioned defendants (the "Defendar1ts");
WHEREAS, pursuant to the First Amended Joint Chapter ii Plan for the IT Group, Inc,
and Its Aftiiiated Debtors, confirmed by Order of the Court, dated April 5, 2004 (the "Plan"), the
Action was transferred to the IT Litigation Trust (the "Litigation Trust"), which was substituted
as the plaintiff in the Action;
WHEREAS, on September 8, 2004, the United States District Court for the District of
Delaware withdrew the reference ofthe Action to the United States Bankruptcy Court;
WHEREAS, the Defendants filed Motions to Disrniss the Litigation Trust’s First
Amended Complaint on March 2, 2005;
WHEREAS, on November I5, 2005, the District Court issued an Opinion and Order
dismissing certain counts ofthe First Amended Complaint and sustaining certain other counts;
WHEREAS, the parties agreed and stipulated on January 5, 2006, to extend the time to
answer the Complaint for those Defendants that are presently required to answer the First
Amended Compiaint until and through February E0, 2006;
VVHEREAS, on January 10, 2006, the Litigation Trust tiled a Motion For Leave To iiiie
A Second Amended Complaint (the "Motion to Arner1d"); and
WHEREAS, the parties have agreed that a further extension of time to answer the First
Amended Complaint pending the Court’s ruling on the Motion to Amend is appropriate;
NOW, THEREFORE, the parties to the Action, by and through their respective
undersigned counsel, hereby stipulate and agree as follows, subject to and effective upon the
entry of an Order approving all of the terms of this Stipuiation:

1. For those Defendants that are presently required to answer the First Amended
Complaint, those Defendant? time to answer the First Amended Complaint is extended through
and including fourteen (14) calendar days following the Court’s ruling on the Motion To Amend.
