KOZLOWSKI TO QUASH ARTHUR ANDERSEN LLP'S NOTICE OF DEPOSITION OF JAMES KOZLOWSKI AND REQUEST FOR PRODUCTION OF DOCUMENTS, OR IN THE ALTERNATIVE FOR PROTECTIVE ORDER, TOGETHER WITH RULE 7.1A CERTIFICATION We understand that on Wednesday, September 14, 2005, counsel for Arthur Andersen LLP issued a Notice of Deposition and Request for Production of Documents, pursuant to which Arthur Andersen purports to notice Mr. Kozlowski's deposition for October 11, 2005, and purports to insist that Mr. Kozlowski produce an array of documents on October 4, 2005. Mr. Kozlowski was served personally with the Notice and Request on Sunday evening, September 18,2005, at 9:OO p.m. Counsel for Arthur Andersen issued and served such Notice and Request notwithstanding the facts that: i) as we understand it, Arthur Andersen included Mr. Kozlowski on a list of potential deponents in February 2005 - seven months ago; ii) counsel for Arthur Andersen first contacted Mr. Kozlowski's counsel in late August and was given dates over a weekend (for reasons explained below) in September when Mr. Kozlowski and his counsel would be available for deposition; iii) Arthur Andersen chose

not to proceed with Mr. Kozlowski's deposition on the dates in September when Mr. Kozlowski and his counsel were available; iv) Arthur Andersen's counsel again contacted counsel for Mr. Kozlowski in mid-September requesting dates when Mr. Kozlowski would be available for deposition prior to October 15, 2005, and was informed by Mr. Kozlowski's counsel that a) he was preparing for a trial scheduled to commence on October 3, and b) given that fact and Mr. Kozlowski's schedule, Mr. Kozlowski would not be available until after October 15; and v) Arthur Andersen's Notice violates Paragraph 15 of the January 27, 2005 Order Providing for Coordinated Discovery with Parallel Qwest Litigation in this case ("Any notice of any deposition in any of the Coordinated Qwest Actions must be issued more than 30 days before the time it states for taking the deposition." (emphasis added)). Mr. Kozlowski's counsel further apprised counsel for Arthur Andersen that Mr. Kozlowski would be able to attend a deposition over a weekend (for reasons explained below) later in October, and that counsel for Arthur Andersen thus should seek an extension to take Mr. Kozlowski's deposition if Arthur Andersen intended to pursue it. Accordingly, pursuant to FED. R. CIV. P. 26(c) and 45(c), and D.C.COL0.LCivR 30.2, Mr. Kozlowski respectfully requests that the Court quash the deposition of Mr. Kozlowski scheduled by Arthur Andersen for October 11, and the request for production of documents by October 4, or in the alternative issue a protective order that such deposition and document production be had in accordance with the schedule set forth below. In further support hereof, Mr. Kozlowski states as follows.

We understand that Arthur Andersen listed Mr. Kozlowski as a likely

deponent in February of this year. Nevertheless, Arthur Andersen made no effort to contact Mr. Kozlowski's counsel regarding potential dates for Mr. Kozlowski's deposition until late August 2005. 2. Shelby Hunt, one of the attorneys for Arthur Andersen, first contacted Mr.

Kozlowski's counsel in late August. At that time, Ms. Hunt was apprised that because Mr. Kozlowski is no longer employed by Qwest - due to his being falsely accused by the SEC of wrongdoing and named as a Defendant in SEC v. Nacchio, eta/., Mr. Kozlowski is employed in a contract capacity and does not have the luxury of being able to take weekdays off (particularly since he was a mid-level employee at and did not leave Qwest a wealthy man). Accordingly, Ms. Hunt was informed that Mr. Kozlowski would be available for deposition on the weekend of September 17 and 18. Ms. Hunt did not get back to Mr. Kozlowski's counsel to confirm those dates. 3. Instead, in mid-September, Ms. Hunt contacted Mr. Kozlowski's counsel

again and said that Arthur Andersen would like to take Mr. Kozlowski's deposition in October before the discovery cut-off date in the consolidated actions. As Magistrate Judge Shaffer knows from his involvement in the SEC v. Nacchio action, Kevin D. Evans is lead counsel for Mr. Kozlowski. Mr. Evans has been representing Mr.

Kozlowski for over 2 years in connection with the SEC investigation and action (among other things, Mr. Evans represented Mr. Kozlowski at the 5-day deposition of Mr. Kozlowski taken by the SEC during the Summer of 2003). Mr. Evans informed Ms. Hunt that he is preparing for a trial that is set to commence on October 3, 2005, and

thus was unavailable until after October 15 to ready Mr. Kozlowski for and attend Mr. Kozlowski's deposition. It is particularly important for Mr. Evans to represent Mr.

Kozlowski in connection with any such deposition given Mr. Kozlowski's status as a Defendant in the SEC v. Nacchio case. Mr. Evans also informed Ms. Hunt that should Arthur Andersen obtain permission from the Court to take Mr. Kozlowski's deposition over a weekend after the cut-off date, Mr. Kozlowski and Mr. Evans would be available. Mr. Evans further informed Ms. Hunt, however, that should Arthur Andersen proceed to notice Mr. Kozlowski's deposition for a time when Mr. Evans was unavailable, and/or a weekday, Mr. Evans would move to quash and for a protective order. 4. Rather than seek permission from the Court to do as Mr. Evans

suggested, counsel for Arthur Andersen proceeded to notice Mr. Kozlowski's deposition and serve him with a request for production of documents in violation of the Order
governing discovery in these consolidated actions.

Federal Rule of Civil Procedure 45 to a third-party is not exempt from discovery deadlines in scheduling orders."

F.R.D. 95, 104 (D.D.C. 2005) ("Rule 45 subpoenas are 'discovery" under Rules 16 and

26 of the Federal Rules of Civil Procedure, and are subject to the same deadlines as
other forms of discovery."). "The purpose of a pretrial order is to encourage careful pretrial management." Pfeifer v. Eagle Mgf. Co., 137 F.R.D. 352, 354 (D. Colo. 1991) (citing 6A C. Wright, A. Miller & M. Kane, Federal Practice and Procedure ! 1522.1 j (1990)). A " 'Scheduling Order is not a frivolous piece of paper, idly entered, which can be cavalierly disregarded by counsel without peril.' " Hannah v. Roadway Express, Inc.,

200 F.R.D. 651 (D. Colo. 2001) (quoting Gestetner Cop. v. Case Equipment Co., 108 F.R.D. 138, 141 (D. Me. 1985)). Arthur Andersen's efforts are particularly inappropriate given that it waited until the close of discovery even to attempt to notice Mr. Kozlowski's deposition, notwithstanding the fact that Arthur Andersen disclosed Mr. Kozlowski as a likely deponent in February of this year. 5. FED.R. CIV. P. 26(c) provides in part:

Upon motion by a party or by the person from whom discovery is sought, accompanied by a certification that the movant has in good faith conferred or attempted to confer with other affected parties in an effort to resolve the dispute without court action, and for good cause shown, the court in which the action is pending or alternatively, on matters relating to a deposition, the court in the district where the deposition is to be taken may make any order which justice requires to protect a party or person from annoyance, embarrassment, oppression, or undue burden or expense, including one or more of the following: (1) (2) that the disclosure or discovery not be had; [and] that the disclosure or discovery may be had only on specified terms and conditions, including a designation of the time or place . . . .

Similarly, FED.R. CIV. P. 45(c) provides: (1) A party or an attorney responsible for the issuance and service of a subpoena shall take reasonable steps to avoid imposing undue burden or expense on a person subject to that subpoena. . . .

(3)(A) On timely motion, the court by which a subpoena was issued shall quash or modify the subpoena if it (i) (iv) fails to allow reasonable time for compliance; [or]

For the reasons explained above, not the least of which is that Arthur

Andersen's Notice and Request was issued in violation of the Court's January 27, 2005, discovery Order in these cases, Mr. Kozlowski respectfully requests that the Court quash the subpoena sewed on Mr. Kozlowski and order that Mr. Kozlowski need not respond to the request for production of documents or appear for deposition in this matter. In the alternative, Mr. Kozlowski respectfully requests that the Court issue a protective order providing that Mr. Kozlowski be allowed until October 17, 2005, to respond to Arthur Andersen's request for production of documents, and that his deposition be scheduled for the weekend of October 22, 2005, or a subsequent weekend on which all interested persons are available 7. Pursuant to D.C.COL0LCivR 30.2:

Pending resolution of any motion under Fed. R. Civ. P. 26(c) or 30(d), no party, attorney, or witness is required to appear at the deposition to which the motion is directed until the motion has been resolved. The filing of a motion under either of these rules shall stay the discovery to which the motion is directed until further order of the court. Accordingly, Mr. Kozlowski's deposition is stayed pending final resolution of this motion to quash or, in the alternative, for a protective order. D.C.COL0.LCivR 7.1A CERTIFICATION As explained above in Paragraphs 2 and 3, counsel for Mr. Kozlowski attempted in good faith to confer with counsel for Arthur Andersen prior to filing this Motion, to no avail.
