Civil Action No. 04-cv-238-REB-CBS ______________________________________________________________________ STIPULATION AND ORDER WITHDRAWING AS MOOT THE MOTIONS FILED AT DOCKET ENTRY NOS. 201, 203 AND 206 IN 04-CV-00238-REB-CBS ______________________________________________________________________ THIS STIPULATION is entered into this 19th day of September 2005 by and between plaintiff Stichting Pensioenfonds, ABP ("ABP"), and defendants Citigroup Inc., Citigroup Global Markets Holdings Inc., Citigroup Global Markets Inc. and Jack Grubman (collectively, the "Citigroup Defendants"). ABP and the Citigroup Defendants stipulate and agree as follows: WHEREAS, on March 14, 2005 [D.E # 201 in 04-cv-00238-REB-CBS] and March 16, 2005 [D.E. #203 in 04-cv-00238-REB-CBS], the Citigroup Defendants filed a Motion and a Corrected Motion for a Protective Order to Seal Exhibit to Plaintiff's Motion for Leave to File a Sur-Reply; WHEREAS, on March 21, 2005 [D.E. # 206 in 04-cv-00238-REB-CBS], ABP filed a Cross-Motion for Disclosure of the Tolling Agreement and an Extension of the Tolling Period;

WHEREAS, after further discussions between counsel for ABP and counsel for the Citigroup Defendants, and in the interests of judicial economy and to avoid the costs and burdens associated with litigating the dispute, the parties agree that the motions entered at docket entry numbers 201, 203 and 206 in 04-CV-00238-REBCBS should be withdrawn as moot. NOW, IT IS THEREFORE STIPULATED, AGREED, and ORDERED as follows: The Citigroup Defendants' Motion filed March 14, 2005 [D.E. # 201 in 04cv-00238-REB-CBS] and the Corrected Motion filed March 16, 2005 [D.E.# 203 in 04cv-00238-REB-CBS] for a Protective Order to Seal Exhibit to Plaintiff's Motion for Leave to File a Sur-Reply and ABP's Cross-Motion filed March 21, 2005 [D.E. # 206 in 04-cv00238-REB-CBS] for Disclosure of the Tolling Agreement and an Extension of the Tolling Period are withdrawn as moot.
