1 2. Prior to September 27, 1999, I was the primary GTCR. contact with
2 ji Christine Kirk and those of her colleagues who left Andersen to form Kirkco, Inc. (later
3 Q renamed Leap, Inc. and then Le:tpS0urce, 1110.).
4 3. I personally met, corresponded and spoke with Kirk, her counsel at
5 the Sachnoff & Weaver law iirrn, and others in connection with the negotiation ofthe
6 QL Summary of Understanding dated September 14, 1999 and the {ive agreements (the
7 Purchase Agreement, Stoclcholders Agreement, Senior Management Agreement,
8 L Registration Agreement and Professional Services Agreement) that were dated
9 September 27, 1999.
10 4. On no occasion did Kirk, her counsel, or any of her colleagues
ll { inform me that they intended to enter into a joint venture relationship with me, GTCR or
12 `, any GTCR-related individual or entity-
13 5. On no occasion did Kirk, her counsel, or any of her colleagues refer
14 iq in my presence to their relationship with me, GTCR or any GTCR-related individual or
15 entity as a joint venture.
16 6. At no time did 1 agree on behalf of myself; GTCR or any GTCR-
17 t related individual or entity to enter into a joint venture relationship with Kirk or any of
18 her colleagues.
