i ' 1 46. PlaintiH` Patrice E. Walker ("Wa1ker") is an individual who is domiciled and
2 resides in Maricopa County, Arizona. Walker was a LeapSouree employee.
F 3 47. Defendant GTCR is a Delaware limited partnership. By virtue its majority
4 common stock ownership, GTCR controlled the election of the LeapSource’s Board of
5 Directors and the Company. The General Partner of this limited partnership was Defendant
6 GTCR Golder Ratmer, L.L.C.
7 48. Defendant GTCR VI Executive Fund, L.P. ("Executive Fund”) is a Delaware
8 limited partnership. The General Partner of the Executive Fund was GTCR Golder Rauner,
1; L.L.C.
U 49. Defendant GTCR Associates Vl ("Associates Fund") is a Delaware general
12 partnership. The Managing General Partner of the Associates Fund was GTCR Partners VI,
13 L.P. and a General Partner was GTCR Golder Rauner, L.L.C.
14 50. GTCR, the Executive Fund and the Associates Fund invested in LeapSource.
15 GTCR. acquired, in exchange for their $65 million iimding commitment to LeapSource,
I6 13,999,000 shares of LeapSource’s 15,383,615 authorized., issued and outstanding shares of
17 common stock and all of its six authorized, issued and outstanding shares of preferred stock.
18 GTCR controlled the minor shareholder interests of the Executive and Associates Funds.
fg; 51. At LeapSource’s inception, GTCR owned 91% of the Company’s common
21 stock and 100% of its preferred stock. Over time, the amount of GTCR's common and
22 preferred shareholdings increased. Later, GTCR owned no less than 70% ofthe Company’s
23 common stock and 100% ofthe cornpany’s preferred stock.
24 52. GTCR controlled, or had the power and ability to control, the election of
25 LeapSource’s Board of Directors, its officers (except for Kirk) and the Company.
