nonexempt. As you sit here today, do you recall what was said on the conference call as to the reason for the switch? A. Q. I believe so. Okay.

And what do you recall being said as for the reason for the switch, and just so the record is clear, the reason for the switch from exempt to nonexempt for the small business and Premier client managers in 2002? A. As I recall, it was a multiple of reasons. One

of them being that there is a federal law and a state law, in my case California, that would define exempt from nonexempt. California was viewed to be more

conservative and also more litigious. And since we had 55 percent of the client managers located in the state of California, Steele Alpin made the decision to take the more conservative approach in putting client managers back to overtime eligible. really shouldn't say "back," just overtime eligible. Q. Do you remember anything else being said on the I

call about the reason for the switch? A. Q. decision? A. No. Not really. Have you ever spoken to Steele Alpin about the
