Whereas the parties, PHT Corporation and etrials Worldwide, Inc., have entered
into a Patent License and Settlement Agreement (the "Settlement Agreement”), the parties,
through their respective counsel, stipulate, subject to the approval of the Court, that:
l. I, All claims and counterclaims in this action are dismissed, with _
I prejudice.
2. Each party will bear its own fees and costs in this action.
3. The Court shall retain jurisdiction of this matter for purposes of
enforcing the Settlement Agreement.
