1 2 3 4 Pursuant to and based on the Joint Motion of plaintiff and counterdefendant ORDER

5 BRIDGEPOINT EDUCATION, INC. ("BRIDGEPOINT") and defendant and counterclaimant 6 PROFESSIONAL CAREER DEVELOPMENT INSTITUTE, LLC ("PCDI"), (the "PARTIES"), 7 wherein the Parties have entered into a Settlement Agreement and Mutual Release (the 8 "Agreement") which resolves the claims and defenses that were or could have been asserted in this 9 action and the Parties agree this Court has jurisdiction over the subject matter of this action and 10 over all Parties to this action and the Magistrate Judge should retain jurisdiction over the 11 Agreement, IT IS HEREBY ORDERED THAT: 12 13 1. The Complaint and Counterclaim in this action are dismissed with

14 prejudice, and each PARTY shall bear its own respective attorneys' fees and costs incurred in 15 connection with this action. 16 17 2. The Magistrate Judge shall retain jurisdiction over the Agreement referred
