The parties hereby agree to an extension of time to file a responsive pleading to the plaintiffs' Complaint for (1) Breach of Contract; (2) Promissory Estoppel; (3) Intentional Misrepresentation; (4) Negligent Misrepresentation; and (5) Declaratory Relief (the "Complaint"). WHEREAS the Complaint was filed on December 21, 2007; WHEREAS the Complaint was served via email on Defendant's in-house counsel on January 2, 2008; WHEREAS a responsive pleading would be due on or before January 25, 2008; WHEREAS Defendant believes further investigation and research is necessary to adequately address the allegations in the Complaint and draft a response; WHEREAS the parties agree to extend the time in which the Defendant has to respond to the Complaint; WHEREAS, this is the first request for an extension of time to respond to the Complaint;

THEREFORE, the parties move the Court to enter an Order extending the time to respond to the Complaint as follows: BearingPoint shall have until February 4, 2008 to file its response to the Complaint.
