THE FIRST AMENDED COMPLAINT FOR DECLARATORY RELIEF
Defendants, Abraham (Avie) Arenson, A. Arenson Holdings, Ltd., D.A. Gardens,
Ltd., J 12ALH Associates, Selk, LLC and Laurel Equity Group (collectively the
“Defendants"), by their undersigned counsel and pursuant to Federal Rules of Civil
Procedure l2(b)(2) and (7), hereby move to dismiss all claims asserted against them in
the First Amended Complaint of Plaintiffs, Shamrock Holdings of Califomia, Inc.,
Shamrock Capital Advisors, Inc., Eugene I. Krieger, George J. Buchler and Bruce Stein,
upon the grounds set forth in the memorandum in support which has been tiled
contemporaneously with this Motion.
WHEREFORE, Defendants respectiiilly request that the Court dismiss all claims
against them in the Amended Complaint.
