PLEASE TAKE NOTICE that pursuant to Rule 4l(a)(l)(ii) ofthe Federal Rules of Civil
Procedure, GST Telecom, Inc., et Q; (the "Counterplaintiffs") and John Warta (the
"Counterdefendant"), hereby stipulate to voluntarily dismiss the Amended Counterclaim tiled
against the Counterdefendant with prejudice. Pursuant to that certain Settlement and Release
Agreement between the Counterplaintiffs and Counterdefendant, which was approved by the
United States District Court for the District of Delaware on December 15, 2005,
Counterdefendanfs claims against Counterplaintiffs have been deemed withdrawn and
disallowed in full.
