The Court having reviewed Third Party Defendant York International Corporation ("York")'s Motion to Dismiss pursuant to F.R.C.P. 12(b)(2) and (3), the Declaration of Samuel Howard, Jr., the Response of Third Party Plaintiff Marelich Mechanical Co., Inc. ("Marelich") and supporting papers, and the Reply of York, the Court hereby enters the following Order:

This Court lacks personal jurisdiction over York. The forum selection clause in the Purchase Order between York and Marelich is

enforceable and it requires all disputes between the parties arising out of the Purchase Order to be adjudicated in California. Third Party Defendant York's Motion to Dismiss is GRANTED, and the Amended Third Party Complaint filed on July 8, 2005 is dismissed, with prejudice.
