INTERNATIONAL, a California partnership, Plaintiff EMPAQUES PLEGADIZOS MODERNOS, S.A. de C.V., a Mexican corporation, and Defendant WESTERN SLOPE INDUSTRIES, INC., a Colorado Corporation; through their attorneys of record, that all claims (and counterclaims) for relief in the above-captioned consolidated matters shall be, and hereby are, dismissed with prejudice pursuant to Federal Rule of Civil Procedure 41(a)(1), with each party to bear their own costs and attorneys' fees. Notwithstanding this Stipulation for Dismissal, the parties further stipulate and agree that the Court shall retain jurisdiction to enforce or rule upon unresolved disputes arising from the Settlement Agreement and General Release dated effective August 5, 2005,

between the parties, which includes a confession of judgment for any uncured default in the performance or payment obligations thereunder.
