COME NOW the Plaintiffs in the above-captioned action, including John P. Barbee, Trustee, and pursuant to Fed.R.Civ.P. 41(a)(2) and the Order Approving Settlement Agreement of October 19, 2005 [Docket Entry No. 773], move that this Court dismiss all claims pending in this action against Hyman Lippitt, P.C., J. Leonard Hyman, Norman L. Lippitt, Douglas A. Hyman, Brian D. O'Keefe, H. Joel Newman, Nazli G. Sater, Kenneth F. Neuman and Terry S. Givens and, in support thereof, state as follows: 1. Effective September 16, 2005, the Paoloni Plaintiffs (which refers to all Plaintiffs

in this action except John P. Barbee, Trustee), John P. Barbee, Trustee, Viatical Liquidity, LLC,

Hyman Lippitt, P.C., J. Leonard Hyman, Norman L. Lippitt, Douglas A. Hyman, Brian D. O'Keefe, H. Joel Newman, Nazli G. Sater, Kenneth F. Neuman and Terry S. Givens entered into a Settlement Agreement for the purposes of settling any and all claims brought by the Paoloni Plaintiffs, John P. Barbee, Trustee, and Viatical Liquidity, LLC against Hyman Lippitt, P.C., J. Leonard Hyman, Norman L. Lippitt, Douglas A. Hyman, Brian D. O'Keefe, H. Joel Newman, Nazli G. Sater, Kenneth F. Neuman and Terry S. Givens. 2. On October 19, 2005, pursuant to an Order Approving Settlement Agreement, the

September 16, 2005, Settlement Agreement was approved by this Court as fair, reasonable and adequate and made an order of this Court. 3. Pursuant to Section IV.A.(3) of the Settlement Agreement and paragraph 3 of the

October 19, 2005, Order Approving Settlement Agreement upon the Effective Date (as defined in the Settlement Agreement) the Paoloni Plaintiffs, John P. Barbee, Trustee, and Viatical Liquidity, LLC agreed to dismiss any and all pending claims with prejudice as against Hyman Lippitt, P.C., J. Leonard Hyman, Norman L. Lippitt, Douglas A. Hyman, Brian D. O'Keefe, H. Joel Newman, Nazli G. Sater, Kenneth F. Neuman and Terry S. Givens. 4. As of the date of filing of this Motion, the Effective Date (as defined in the

Settlement Agreement) has occurred and all conditions precedent, as set forth in the Settlement Agreement and the dismissal with prejudice of Hyman Lippitt, P.C., J. Leonard Hyman, Norman L. Lippitt, Douglas A. Hyman, Brian D. O'Keefe, H. Joel Newman, Nazli G. Sater, Kenneth F. Neuman and Terry S. Givens has now occurred. WHEREFORE, for the foregoing reasons, all Plaintiffs in the above-captioned action, including John P. Barbee, Trustee, move that this Court dismiss with prejudice all pending claims in this action against Hyman Lippitt, P.C., J. Leonard Hyman, Norman L. Lippitt,
