Lead Plaintiffs New England Health Care Employees Pension Fund, Clifford Mosher, Tejinder Singh and Sat Pal Singh ("Lead Plaintiffs") and defendants Qwest Communications International, Inc. ("Qwest" or "the Company"), Joseph P. Nacchio, Philip F. Anschutz ("Anschutz"), Robin R. Szeliga, Robert S. Woodruff, Drake S. Tempest, Craig B. Slater ("Slater"), and Arthur Andersen LLP (collectively, the "Parties") respectfully submit this Stipulated Motion for an Order Granting Lead Plaintiffs Leave to Conduct the Depositions of Susan Cude and Kevin Baird and the Deposition of the Anschutz Company Pursuant to Rule 30(b)(6) of the Federal Rules of Civil Procedure After the Fact Discovery Cut-Off Date. In support thereof, the Parties state as follows: A. 1. The Depositions of Susan Cude and Kevin Baird The Parties are currently litigating the question of whether Qwest waived

applicable privileges associated with approximately 220,000 pages of documents through production of that material to the United States Securities and Exchange Commission and Department of Justice pursuant to written confidentiality agreements (the "Limited Waiver Documents"). 2. The Parties believe that the underlying legal issue associated with the Limited

Waiver Documents will likely remain unresolved beyond the fact discovery cut-off date. 3. Lead Plaintiffs seek to depose two attorneys who provided legal advice to

Qwest: Kevin Baird and Susan Cude. There are a significant number of Limited Waiver Documents that reflect communications with Ms. Cude and Mr. Baird and thus, should the Limited Waiver Documents be produced, Lead Plaintiffs intend to use those documents at Mr. Baird's and Ms. Cude's depositions. -1-

The Parties agree that it is in the best interests of Mr. Baird and Ms. Cude to

appear only once for deposition. 5. Moreover, the Parties wish to avoid the unnecessary waste of resources that

would result from deposing these non-party witnesses prior to resolution of the Limited Waiver Documents issue and potentially again thereafter should the Limited Waiver Documents be produced. Therefore, the Parties agree that Mr. Baird's and Ms. Cude's depositions should be scheduled and conducted after the Limited Waiver Documents issue is finally adjudicated. 6. The Parties agree that if the Court grants this Stipulation, Lead Plaintiffs shall

be allowed to conduct Mr. Baird's and Ms. Cude's depositions after the fact discovery cutoff date. 7. The Parties further agree that Lead Plaintiffs shall schedule Mr. Baird's and

Ms. Cude's depositions no later than 30 days after one of the two following events, whichever occurs first: (a) Qwest produces the Limited Waiver Documents; or (b) the Limited Waiver issue is finally adjudicated. B. 1. The Rule 30(b)(6) Deposition of the Anschutz Company The United States Attorney for the District of Colorado has filed a motion to

stay certain discovery in this matter, including the depositions of defendants Anschutz and Slater and the deposition of non-party Cannon Harvey ("Harvey"). 2. In litigating the discovery stay issue, the Parties and the United States

Attorney's Office agreed that the deposition of the Anschutz Company could be conducted

as long as defendants Anschutz and Slater and non-party Harvey were not designated to testify on behalf of the Anschutz Company. 3. Lead Plaintiffs noticed the deposition of the Anschutz Company for

September 19, 2005, and identified eighteen topic areas on which examination was requested. 4. Prior to the scheduled deposition, counsel for defendant Anschutz advised

Lead Plaintiffs that defendants Anschutz and Slater and non-party Harvey were the individuals designated by the Anschutz Company to testify on fifteen of the eighteen identified topic areas. 5. The Parties are in the process of negotiating a resolution of an additional

topic area through a verified written response. Once this issue is agreed to, only two topic areas for examination will remain. 6. Counsel for defendant Anschutz also advised Lead Plaintiffs that the persons

designated to testify as to the remaining two topic areas were not available to testify on September 19, 2005, but were available to testify the week of October 10, 2005. 7. The Parties agree that it is in the best interests of the Anschutz Company to

conduct the Rule 30(b)(6) deposition at one time. 8. Moreover, the Parties wish to avoid the unnecessary waste of resources that

would result from deposing the persons designated by the Anschutz Company on the remaining two topic areas and subsequently deposing the Anschutz Company, through defendants Anschutz and Slater and/or non-party Harvey as the Anschutz Company so designates, on the other fifteen topic areas after the discovery stay has been lifted. -3-

The Parties agree that if the Court grants this stipulated motion, Lead

Plaintiffs shall be allowed to conduct the deposition of the Anschutz Company after the fact discovery cut-off date. 10. The Parties also agree that Lead Plaintiffs shall schedule the deposition of the

Anschutz Company 45 days after this Court lifts the discovery stay as it pertains to defendants Anschutz and Slater and non-party Harvey.
