9 July 2001 Commander U.S. Army Aviation and Missile Command AMSAM-AC-ML-SA!Georgia Walker Redstone Arsenal, AL 35898 Subject: Contract DAAH01-00-C-0077, Delivery of Circuit Card Assemblies Dear Ms. Walker, SDC was awarded Contract DAAH01-00-C-0077 on 9 May 2000. However, because of the Government delay in providing digital data for the PROM units, we have not been able to deliver a finished product as required by our contract. In view of the inordinate amount of time that has elapsed, we propose the following: SDC would provide to you the PROM units that require programming and you would get them to the appropriate personnel at Raytheon. Raytheon would perform the programming and return the programmed PROM units to you for distribution to SDC. Expenses associated with use of data, packaging, programming, and transportation to and from Raytheon would be borne by the Government. Permit SDC to deliver to the Government Circuit Card Assemblies that are complete ¯ except for the programmed PROM units. The Government would be responsible for acquiring digital data and completing Circuit Card Assemblies. c. SDC would provide all parts that have been purchased to the Government and be paid for the parts. I. Time and Place of Meeting: On Friday (7/13/2001) morning, at 9:00 in the TBE Executive Conference Room, TBE Management (M. Runkle, E. Seigler, R. Cagle, E. Russell, R. Hickman and M. Hnetynka) met with SDC Management (V. Gilchrist and G. Carpenter) to review specific issues that were preventing successful completion of work by SDC and TBE on the Hawk I and Hawk II board-build proggams.
2. Background and Discussion:

a. It was agreed by al! SDC and TBE attendees that the following product build information is missing and that this information is required to complete the SDC contract and to deliver acceptable, tested Hawk I and II boards to the government: (I) Gerber files for raw PWBs (Hawk If). (2). Physica! programmable parts (PP) and/or PP code file contents (Hawk I). (3) ICT and/or manual test fixtures for raw PW boards (Hawk I and
II) ¯

(4} ATP and fixtures, with Test Equipment List, for test and acceptance of completed PWB Assemblies (Hawk I and II). b. Since these are critical pieces of government-supplied information that are not available for completion of First Article Build and Test and completion of Production Builds for both contracts, the risks to contract completion are great and are potentially very expensive for TBE and SDC. Accordingly, TBE and SDC agreed to cease ordering parts for all Hawk II materials, while SDC approaches the government in writing regarding termination for impossibility of performance. TBE has already completed purchasing of all parts for Hawk I and has invoiced SDC for the f~ll ~aterials price. SDC agreed to approach the gov4rnment to obtain payment for th~ Hawk I parts already purchased, which would in-turn be paid to TBE

3. Specific agreed-to Action Items: a; SDC/V. Gilchrist will send letter to government Contract Officer, 7/16/01, saying: - SDC finds lack of data makes contract completion "impossible" for Hawk I & If. - SDC suggests that government terminate Hawk I & II contracts ~or convenience". - SDC asks government to pay SDC for all parts for Hawk I & iI contracts. b. TBE/E. Russell to review & comment on SDC's draft letter to

Additional funding must be provided to cover the cost ol~ programming the PROMs from the printed copy. The Government would fund the additional costs associated with this option.

Cancel Contracts DAAH01-00-C-0077 and DAAH01-00-P-0741 for convenience. SDC will turn over all purchased pads to the Government. SDC will provide a Final Invoice for purchase~l parts plus an Administrative/Handling Fee. The Government would reirnburse SDC for the purchase~l pads plus an Administrative/Handling Fee.

As a result of your response to. our July 30, 2001 letter and recent communications, SDC, Inc. ¯ hereby formally requests that the subject contracts be Terminated for Convenience per FAR clause 52,249-2. SDC was awarded contract DAAH01--00-C-0077 in May2000 and contract DAAH01- 00-P-0741 in September 2000. SDC has requested the necessary data in the format required by the contracts, and the documentation to properly manufacture the products. However, more than a year has elapsed and SDC still does not have the data specified in the contracts to produce the products as intended in our original proposal. Examples of the insufficient data are as follows:

1) PROM Data - The contract TDPL Legend directs that the copy of the digital drawing,
"...included in this Technical Data Package is not used for manufacture. A copy of the drawing in disk or magnetic tape format will be furnished to the successful bidder upon request". To properly program PROMs for use on the circuit cards, SDC requires the data files for loading into the PROMs. These data files must be provided in electronic format for consistency in loadiug the PROMs and to prevent mistakes associated with manually entering the data. Although requested, SDC has still not received an electronic version ol~ the data files. It appears we have received the very drawings the TDPL Legend directs us NOT to use. In order to manually enter and check the data, SDC will incur additional costs that were not expected or proposed in the original quotation. While such a technique could be employed, the risk of programming microcircuits with incorrect data, and thereby producing scrap assemblies is very high. The Government has also made it clear that additional funding for data entry and replacement PROMs will not be provided The Government also suggested that SDC could buy the programmed microcircuits from Raytheon or Woodard Electric if desired. However, the original solicitation did not mention these two companies as directed or suggested sources. Therefore, our proposal was to procure the PROMS and program them with the electronic data file(s) to be " provided by the Government. To change our plans at this time and purchase the programmed parts will have a significant financial impact upon this program and our -company.

2) Acceptance Test Procedures - On build to print cbntracts, it is routine for the customer
to provide copies of the existing test procednre used to detenaaine if the parts are acceptable. Although SDC has requested Acceptance Test Plans and Procedures, the Government has only provided copies of specifications that call out the general performance requirements. Therefore,instead of receiving copies of existing procedures, SDC will have to pay for an Acceptance Test Plan/Procedure to be written and fllen forward it to the Government for comment and approval. This effort could potentially also have a large cost impact upon the program. November 13, 2001 Page 2

The above examples are just two instances where SDC still does not believe it has sufficient data to complete the effort as proposed and the answers or alternatives offered by the Government will cause financial impact to this program. To complete a contract of this type, SDC assumed.that the normal,.basie technical-data and documentation would be made available. As a Small Business, SDC cannot absorb the financial impacts caused by the Government's failure to provide the normal routine data.
