("CSXr), approved on or about January 2, 1992, governing the exection of real
estate relatèd deeds, leases, contracts, agreements, and other documents to

which CSXT may be or become a party, the President and Chief Executive Offcer of CSXT may designate persons to execute such documents on behalf of CSXT;

WHEREAS, the undersigned is the President and Chief Executive Offcer of the corporation;

WHEREAS, CSXT and CSX Real Propert, Inc. ("RPI") are parties to an
agreement entitled, "Property Management Agreement and Limited Power of

Attorney," effective March 1, 1990, and to certain extension agreements thereto

with management, acquisition, analysis, valuation, marketing, sales and
development services with respect to CSXT's real property; and

(collectively, the "Management Agreemenn, under which RPl provides CSXT
