NOTICE OF YOUR ENTITY'S RESPONSIBILITY
Enclosed you will find the filing documents for your entity that are stamped as filed for record, and the appropriate certificate.

If an Initial Biennial Report is enclosed it must be completed and returned to this office. For immediate posting, you may file your Initial Biennial Report online at www.commerce.state.ak.us/occ, under Corporations; select the link File Initial Biennial Report Online.

*PLEASE BE AWARE*
For this entity to remain in compliance with Alaska Statutes you must file the Biennial Report and notify this office of any changes in the registered agent information and the principal officers, members or partners of the entity. 1. File a biennial report and pay the biennial license tax/fees. If the entity is certified in an odd numbered year, the report is due each odd numbered year. If the entity is certified in an even numbered year, the report is due each even numbered year. For immediate posting, you may file this online at www.commerce.state.ak.us/occ, under Corporations; select the link File Biennial Report Online. The due date for-profit entities is January 2nd. The due date for not-for-profit entities is July 2nd. It is the responsibility of the entity to file its biennial report and pay its biennial taxes/fees. Failure to receive a form or notice from this office does not excuse the entity from this filing requirement. Failure to meet this requirement could result in the involuntary dissolution or revocation of the entity. The biennial report filing requirements do not apply to Limited Partnerships. 2. Notify this office at once of any change in registered agent or registered agent mailing address. Submit a Statement of Change Registered Agent or Registered Agent Address form along with a $25.00 filing fee. The form is available online at www.commerce.state.ak.us/occ, under Corporations; select the link Forms and Fees. Note: All notices will be sent to the mailing address on record for the registered agent. 3. If there are any changes in the mailing address of the principal office, officers, directors, members, managers or shareholders owning 5% or more of the issued stock of the entity, you must notify this office of the changes. If the changes are within 3 months of the biennial report due date, the changes can be made on the biennial report. There is no fee for filing this notice and the applicable forms are available online at www.commerce.state.ak.us/occ, under Corporations; select the link Forms and Fees. 4. If the entity changes its name, or makes other changes to the information set out in the articles (excluding those changes mentioned above), amendments must be submitted.
