P. 12(b)(1), to dismiss Defendants' Amended Counterclaim against the Gwynn Plaintiffs, dated February 6, 2006, Counts One, Two, and Three, for lack of subject matter jurisdiction as the Counterclaim includes Gwynn Financial Services ("GFS") as a counterclaim defendant. destroy diversity jurisdiction, and supplemental jurisdiction is inappropriate due to exceptional circumstances. A Memorandum of Law in Support of this Motion is attached hereto.
