Bayer Pharmaceuticals Corporation, a nongovernmental corporate party organized and existing
under the laws of the State of Delaware, states that Bayer Pharmaceuticals Corporation is a
wholly-owned subsidiary of Bayer Corporation, which is a wholiy—owned subsidiary of Bayer
AG,
