“AS-IS” AUTOMOBILE BILL OF SALE
The undersigned, _____________________ (“Seller”) wishes to sell and the Buyer wishes to buy the property, assets and undertakings in “as-is” condition described below for the consideration and on the terms and conditions set forth below:

1. Seller hereby warrants and covenants to and with the said Buyer that Seller has good and marketable title to such property to be sold, transferred, assigned and conveyed hereunder, free and clear or subject to any disclosed liens, claims, encumbrances or restrictions of any kind, has the right, power and authority to, and hereby does, sell, transfer, assign and convey all of said assets free and clear or hereby disclosed of such liens, claims, encumbrances and restrictions.
2. Said Seller hereby covenants that it will warrant, indemnify and save harmless the Buyer same against all lawful claims whatsoever.
3. Notwithstanding to the foregoing in respect to title, Buyer shall buy from Seller the above referenced property in “As-Is” condition. Any warranties of physical condition of the above referenced property contained in this “As-Is” Bill of Sale are void. The Seller has no further responsibility or liability with respect to the condition of the property referenced above.
4. This Bill of Sale shall inure to the benefit of the successors and assigns of the Buyer.
