RECITALS
WHEREAS, the Partners have entered into a certain Partnership Agreement dated the ______ day of ________________, __________ (the “Partnership Agreement”).
WHEREAS, the Partners hereby agree to amend the said Partnership Agreement in accordance with the terms and conditions contained in this Amendment
NOW THEREFORE, in consideration of the mutual promises and conditions contained here under and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Partners agree as follows:
1. AMENDMENT
The Partners agree that the Partnership Agreement is hereby modified and amended as follows:

2. TERMS & CONDITIONS
The Partners agree that all of the terms and conditions of the Partnership Agreement, not amended by this Amendment, shall remain in full force and effect.
3. ENTIRE AGREEMENT
The Partnership Agreement, as amended by this Amendment, contains the entire agreement of the Partners hereto with respect to the subject matter hereof. Any representations, inducements, or Partnership Agreements, oral or otherwise, between the Partners not contained in this Amendment shall be of any force and effect. This Amendment may not be modified, changed or terminated, in whole or in part, in any manner other than by a Partnership Agreement in writing signed by duly authorized representatives of the Partners.
