Contract for Sale of Goods

This Contract for Sale of Goods (�Contract�) made on this _____________ day of ______________, 20__ by and between ___________________________ of ________________________________________________ (�Seller�) and _______________________ of _____________________________________________ (�Buyer�).

Goods

Seller hereby agrees to transfer the following goods & Buyer agrees to accept the goods and pay for same in accordance with the terms of this Contract: __________________________ __________________________________________________________________________________________________________________________________________________________________________ (�Goods�).

Term

This Contract shall begin on the date above written and end upon the full and final delivery of the Goods.

Price

The price to be paid by Buyer to Seller is ____________________________________. The said price shall be paid on ________________________. If the Buyer fails to pay the price in full by this date, Seller may then cancel this Contract and sue for damages, including lost profits, and further recover its cost of suit including attorney fees.

Delivery

Goods shall be deemed received by Buyer when delivered to address of Buyer as herein described.

Risk Of Loss

The risk of loss from any casualty to the Goods, regardless of the cause, shall be on seller.

Acceptance

Buyer will have the right to examine the goods upon receipt, and shall have _______________ business days from the date of delivery, to notify the Seller of any claim for damages on account of condition, quality, or grade of the goods. Any failure on the part of Buyer to comply with these conditions will constitute irrevocable acceptance of the goods by Buyer.

Warranty

Seller warrants that the Goods are new and free from any defects in workmanship and materials. Seller further warrants that the Goods are free from any security interest or other lien or encumbrance, and that the Seller neither knows nor has reason to know of any outstanding title or claim of title hostile to his rights in the goods. Seller's liability hereunder is limited to replacement of goods or refund of the price. No other warranty, express or implied, is made by Seller, and none shall be imputed or presumed.

Taxes

All sales taxes, tariffs, and other governmental charges shall be paid by Buyer and are Buyer's Responsibility except as limited by the law.

Governing Law

This Contract shall be governed by the laws of the State of _________. Any disputes brought against the Seller hereunder will be heard in the appropriate federal and state courts located in _________.

Force Majeure

Seller may, without liability, delay performance or cancel this Contract on account of force majeure events or other circumstances beyond its control, including, but not limited to, strikes, acts of God, political unrest, terrorism, embargo, failure of source of supply, or casualty.

Entire Agreement

This Contract contains the entire agreement between the parties and supersedes and replaces all such prior agreements with respect to matters expressly set forth herein. No modification shall be made to this Contract except in writing and signed by both parties.

Assigns

This Contract shall be binding upon the parties and their respective heirs, executors, administrators, successors, assigns and personal representatives.
