Seller shall be responsible to pay all taxes and special assessments.
CLOSING

CONDITION

REPRESENTATIONS
Seller represents that as of the Closing Date there will be no liens, assessments, or security interests against the Property which will not be satisfied out of the sales proceeds unless securing payment of any loans assumed by Buyer. If any representation of Seller in this contra is untrue on the Closing Date, Buyer may terminate this Agreement and any deposit will be refunded to Buyer.

BUYER HEREBY ACKNOWLEDGES THAT BUYER HAS PERSONALLY INSPECTED THE PROPERTY AS FULLY AS BUYER DESIRES AND IS NOT RELYING AND SHALL NOT HEREAFTER RELY UPON ANY WARRANTIES, REPRESENTATIONS OR STATEMENTS OF SELLER, AGENT NOR AUCTIONEER.��
RISK OF LOSS OR DAMAGE
If the Property is damaged by fire or other casualty prior to closing, Seller or Buyer may cancel this Agreement, or may extend the closing date up to _____________________days and restore them to substantially their original condition.
GOVERNING LAW
The laws of the State of _____________________ shall govern this Agreement.
ENTIRE AGREEMENT
This Agreement shall contain the entire understanding and agreement between the Buyer and Seller with respect to the matters referred to herein and shall supersede all prior or contemporaneous agreements, representations and understanding with respect to such matters and no oral representation or statement shall be considered a part hereof.
ASSIGNS
The parties agree that the terms of this Agreement will apply to and bind their heirs, executors, administrators, assigns, or any successor in interest of the parties. If the buyer is more than one person, all obligations, promises, conditions, covenants and warrantees are joint and several.
SEVERABILITY
In the event any clause in this Agreement is held to be unenforceable or against public policy, such holding shall not affect the validity of the remainder of the Agreement unless it materially alters the terms hereof.
