IN CONSIDERATION of the mutual covenants and agreements hereinafter contained and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Licensor and Licensee agree as follows:
License
The Licensor hereby grants a non-exclusive, limited license, right, privilege, permission (the "License") to the Licensee to use in common with others a right-of-way (the "Right-of-Way") for movement of persons and vehicles over the following property: __________________________________________________________________________ _____________________________________________________________________________________________________________________.
Term
The License granted hereunder shall commence on the date written above and shall continue for a period of ________________________________________ years.
License Fees
For use of the Right-of-Way, the Licensee shall pay to the Licensor, a license fee, in advance, in the amount of $___________________________________________.
Condition
For and during the term of the License, the Licensee shall maintain the Right-of-Way in a good condition and repair.
No Representations
The Licensee represents that the Licensor has made no representations with respect to the Right-of-Way and its condition, and that the Licensee is not relying on any representations of the Licensor with respect to the use or condition of the Right-of-Way. This Agreement grants the Licensee the privilege and permission to use the Right-of-Way in its present condition “as is” without any warranties.
No Rights Granted
Licensee hereby acknowledges and agrees that it shall have no other right, title or interest in the Right-of-Way except as expressly set forth in this Agreement.
Indemnification
For the term of the License, the Licensee agrees to indemnify, defend, and save the Licensor and its agents, employees, grantees, and assigns, harmless from and against all claims, actions, liabilities, damages, costs, expenses, and judgments, including attorneys’ fees, which relate to, arise from, or are in connection with the Licensee’s use or occupancy of the Right-of-Way, or any portion thereof, on account of any injury to persons or damage to property, excluding any injury or damage caused by the negligence of the Licensor.
Entire Agreement
This Agreement is sets forth the entire agreement between the parties relating to the subject matter hereof and stands in the place of any previous agreement, whether oral or in writing. The parties agree that no amendment to this Agreement shall be binding upon the parties unless it is in writing and executed by both parties.
Assigns
This Agreement shall enure to the benefit of and be binding upon the respective heirs, executors, administrators and assigns of each of the parties hereto.
Governing Law
This License Agreement shall be construed and enforced in accordance with, and governed by, the law of the State of __________________________.
