4. This Assignment shall be governed in accordance with the laws of the State of ________. Any dispute, controversy or legal proceeding regarding this Assignment shall be resolved and adjudicated in the Courts of the State of _________________.
5. The Parties agree that this Agreement shall be binding upon the legal successors and assigns. This agreement is final.
